By accessing or using Vertisan Vortex, creating an account, or clicking “I agree,” you accept these Terms, our Privacy Policy, and any policies referenced here. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.
You must be at least 18 years old and not be subject to any sanctions or export restrictions. You represent that you are legally permitted to use the Services in your jurisdiction and that you are not located in a Prohibited Jurisdiction (see §16).
Vertisan Vortex provides a peer‑to‑peer (P2P) marketplace where users can post and accept advertisements to buy or sell supported digital assets and settle payments off‑platform through agreed methods. We:
provide listing, discovery, chat, and dispute tools;
maintain internal wallets/ledgers to reflect balances of supported assets;
are not a bank, not an investment advisor, and do not guarantee counterparties or prices.
You agree to provide accurate information, keep your credentials secure, enable 2FA where available, and promptly update your details. You are responsible for all activity under your account. We may suspend or close accounts for violations of these Terms, fraud, or legal requirements.
We may require identity verification and ongoing screening (e.g., government ID, liveness checks, sanctions/PEP screening). We may limit features, hold or freeze balances, or report activity to authorities where legally required or where we suspect prohibited conduct.
Listings. Users can create buy/sell advertisements with price, limits, and payment windows. Listings must be lawful, clear, and not misleading.
Trade flow. When a counterparty accepts an ad, a trade room opens. Follow instructions, pay via the selected method, and confirm receipt as required.
Escrow. We may lock the relevant crypto amount internally to facilitate settlement and disputes. Locked amounts are not available for withdrawal until the trade completes or is cancelled according to the rules.
Completion. A trade completes when both sides meet requirements and funds are released according to platform logic.
Disputes. If a dispute is opened, you agree that the admin’s decision is final based on available evidence. In general, if resolved in favor of the seller, we may transfer the crypto from buyer to seller and apply applicable fees; if resolved in favor of the buyer, we generally keep wallets unchanged. See §8.
Crypto prices are highly volatile and not guaranteed. Displayed rates and conversions are indicative and may differ across venues. You are responsible for verifying amounts, currencies, and payment details before confirming a trade.
You agree to pay fees shown in the UI or otherwise communicated (e.g., trade fee/charge, deposit/withdrawal fees, network fees). Fees may change with notice. In particular:
On buyer‑win dispute resolutions, a trade fee may be charged to the seller and the principal amount may be transferred to the buyer.
On seller‑win disputes, wallets are generally not adjusted, and no trade fee applies.
We may deduct fees from your wallet balance or the specific transaction amount.
You may not use the Services for: (a) unlawful activity; (b) fraud, scams, or chargeback abuse; (c) money laundering or terrorist financing; (d) sanctions evasion; (e) distribution of malware or harmful code; (f) interfering with the platform; (g) violating payment method rules; (h) doxxing, harassment, or abusive content in chat; (i) IP infringement; (j) attempting to bypass KYC/AML processes.
Internal wallets reflect your balance of supported assets. We do not represent or warrant that we are a qualified custodian. Balances may be held in omnibus wallets and reflected in our ledger. You retain ownership rights in your crypto, subject to these Terms and applicable holds, locks, and legal requirements. We are not obliged to support every fork, airdrop, or token event.
You may deposit and withdraw supported assets using the interfaces we provide. Network confirmations and fees apply. Payment method instructions provided by users are at the user’s own risk. We may refuse or delay withdrawals if required by law or risk rules (e.g., fraud investigations).
Crypto involves significant risk, including price volatility, regulatory changes, technological failures, cyber attacks, and loss of private keys outside our control. You may lose value. You use the Services at your own risk. We do not provide investment, legal, or tax advice.
No warranties. The Services are provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant uninterrupted, error‑free operation or that defects will be corrected.
To the maximum extent permitted by law, in no event will we be liable for: (a) indirect, incidental, special, consequential, or punitive damages; (b) loss of profits, revenue, data, or goodwill; (c) any conduct or content of other users; (d) events beyond our reasonable control. Our aggregate liability for all claims in any 12‑month period will not exceed the total fees you paid to us during that period.
You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content, your violation of these Terms, or your violation of any law or third‑party rights.
The Services, including software, logos, graphics, text, and content, are our or our licensors’ property and are protected by IP laws. You are granted a limited, non‑exclusive, non‑transferable license to use the Services for their intended purpose. Reverse engineering or scraping is prohibited.
We may restrict or terminate access for users in Prohibited Jurisdictions or on sanctions lists (e.g., OFAC, UN, EU, UK). You are responsible for ensuring your use is lawful in your jurisdiction.
We may modify, suspend, or discontinue features or the Services at any time with or without notice. We are not liable for service interruptions due to maintenance, upgrades, or events beyond our control.
You may close your account at any time, subject to ongoing trades, disputes, or legal holds. We may suspend or terminate your account for violations, risk concerns, or legal reasons. Upon termination, certain sections survive (e.g., §§ 12–14, 20–22).
You consent to receive electronic communications from us (e.g., emails, in‑app notices). You agree that electronic agreements, notices, and records satisfy legal requirements that such communications be in writing.
We may update these Terms from time to time. We will post the updated version with the effective date at the top. Material changes will be notified where required by law. Your continued use after changes constitutes acceptance.
Entire Agreement. These Terms and referenced policies are the entire agreement between you and us.
Severability. If any provision is unlawful or unenforceable, the remainder will remain in effect.
No Waiver. Failure to enforce a provision is not a waiver.
Assignment. You may not assign your rights or obligations; we may assign to an affiliate or in connection with a merger/acquisition.
Force Majeure. We are not liable for delays or failures due to events beyond reasonable control.
